1. Acceptance of Terms
Welcome to AwesomeClient. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AWESOMECLIENT SOFTWARE PRIVATE LIMITED ("AwesomeClient," "we," "us," or "our"), governing your access to and use of the AwesomeClient platform, including our website at awesomeclient.com and all related services (collectively, the "Service").
Important: By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not use the Service.
You must be at least 18 years old to use this Service. By using the Service, you represent and warrant that you meet this age requirement.
2. Service Description
AwesomeClient is a software-as-a-service (SaaS) platform designed for freelancers, agencies, and service businesses to manage their operations, including:
- Creating branded storefronts to showcase and sell services
- Managing client relationships and communications
- Processing payments and invoicing
- Project management and file sharing
- Client portals for service delivery
- Support ticketing and AI-assisted customer service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. User Accounts
3.1 Account Registration
To use certain features, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
3.2 Account Types
- Business Owner Accounts: For freelancers/agencies managing their storefronts
- Client Accounts: For customers accessing services through business owner storefronts
3.3 One Account Per Person
You may only maintain one active business owner account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.
4. Acceptable Use
You agree not to use the Service to:
4.1 Prohibited Content
- Sell or promote illegal products, services, or activities
- Distribute malware, viruses, or harmful code
- Share content that is defamatory, obscene, or harassing
- Infringe on intellectual property rights of others
- Promote violence, discrimination, or hate speech
- Share adult/explicit content without appropriate restrictions
- Engage in fraudulent schemes or scams
4.2 Prohibited Activities
- Attempt to gain unauthorized access to the Service or other accounts
- Interfere with or disrupt the Service or servers
- Scrape, harvest, or collect user data without consent
- Use automated systems (bots) except as expressly permitted
- Resell or redistribute the Service without authorization
- Circumvent any security measures or usage limits
- Impersonate any person or entity
⚠️ Violation of these terms may result in immediate account termination without refund.
5. Your Content
5.1 Ownership
You retain all rights to content you upload, create, or share through the Service ("Your Content"). We do not claim ownership of Your Content.
5.2 License to Us
By uploading content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, store, display, and distribute Your Content solely for the purpose of providing and improving the Service.
5.3 Content Responsibility
You are solely responsible for Your Content. You represent that you have all necessary rights to upload and share Your Content and that it does not violate any laws or third-party rights.
5.4 Content Removal
We reserve the right to remove any content that violates these Terms or that we deem inappropriate, at our sole discretion.
6. Client Data
As a business owner using our platform, you may collect and manage data about your own clients ("Client Data"). You acknowledge and agree that:
- You are the data controller for Client Data you collect
- You are responsible for obtaining necessary consents from your clients
- You must comply with all applicable privacy and data protection laws
- You will have your own privacy policy for your clients
- We act as a data processor on your behalf for Client Data
We will process Client Data only according to your instructions and these Terms, and will implement appropriate security measures to protect such data.
7. Payments & Billing
7.1 Beta Period
During our beta period, the Service is provided free of charge. We reserve the right to introduce paid plans in the future with advance notice to users.
7.2 Payment Processing
Payments for services sold through your storefront are processed by third-party payment providers (Razorpay, PayPal, Stripe). You are responsible for:
- Setting up and maintaining your payment gateway accounts
- Complying with payment processor terms of service
- Handling disputes and chargebacks with your clients
- All applicable taxes on your earnings
7.3 Refunds
Refund policies for services sold through your storefront are determined by you (the business owner). For our own services (when we introduce paid plans), see our Refund Policy.
7.4 Platform Fees
AwesomeClient does not currently charge platform fees on transactions. This may change in the future, with advance notice provided to all users.
8. Intellectual Property
8.1 Our Property
The Service, including its design, features, code, trademarks, logos, and content created by us, is owned by AwesomeClient and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.
8.2 Feedback
If you provide us with feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.
8.3 Trademark
"AwesomeClient" and our logo are trademarks of AWESOMECLIENT SOFTWARE PRIVATE LIMITED. You may not use our trademarks without prior written consent.
9. Termination
9.1 Termination by You
You may terminate your account at any time by contacting us at [email protected] or through account settings. Upon termination:
- Your access to the Service will be revoked
- Your data will be retained for 30 days, then deleted
- You may request a data export before deletion
9.2 Termination by Us
We may suspend or terminate your account if you:
- Violate these Terms or any applicable laws
- Engage in fraudulent or abusive behavior
- Fail to pay applicable fees (when applicable)
- Remain inactive for an extended period
We will provide notice before termination where feasible, except in cases of severe violations requiring immediate action.
9.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Sections that should survive termination (such as limitations of liability, indemnification, and dispute resolution) will remain in effect.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Uninterrupted, secure, or error-free operation
- Accuracy or reliability of any information
- Results obtained from using the Service
We do not warrant that the Service will meet your requirements or that defects will be corrected.
11. Limitation of Liability
To the maximum extent permitted by law, AWESOMECLIENT SOFTWARE PRIVATE LIMITED and its directors, employees, partners, and affiliates shall not be liable for:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from unauthorized access to your account
- Damages from third-party actions or content
In no event shall our total liability exceed the greater of:
- The amount you paid us in the 12 months preceding the claim, OR
- INR 10,000 (or equivalent)
Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.
12. Indemnification
You agree to indemnify, defend, and hold harmless AwesomeClient and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content or Client Data
- Any disputes between you and your clients
13. Disputes & Governing Law
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
13.2 Jurisdiction
Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.
13.3 Dispute Resolution
Before filing a legal claim, you agree to attempt to resolve any dispute informally by contacting us at [email protected]. We will try to resolve disputes within 30 days.
14. Changes to Terms
We may modify these Terms at any time. We will provide notice of material changes by:
- Posting the updated Terms on this page
- Updating the "Last updated" date
- Sending email notification for significant changes
Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service.
